IMPORTANT - READ CAREFULLY BEFORE USING THIS FIRMWARE
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "Your") and Cornelis Networks, Inc. ("Cornelis Networks") for the Cornelis Networks Baseboard Management Controller (BMC) Firmware, including all associated binary files, documentation, and any updates or upgrades thereto (collectively, the "Software").
BY DOWNLOADING, INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, COPY, OR USE THE SOFTWARE.
1. COMPOSITE SOFTWARE NOTICE
The Software is a composite work consisting of:
- Cornelis Networks Proprietary Components: Original binary components developed by Cornelis Networks, licensed under the BSD 3-Clause License as set forth in Section 3 below.
- Third-Party Components: Binary components sourced from various third parties, each governed by their respective license agreements as identified in the third-party licenses documentation available on the www.cornelisnetworks.com.
2. GRANT OF LICENSE
Subject to Your compliance with the terms and conditions of this Agreement and the applicable third-party licenses:
a) Use: Cornelis Networks grants You a non-exclusive, non-transferable, revocable license to use the Software solely in conjunction with Cornelis Networks hardware products for which the Software was designed.
b) Restrictions: You may not:
- Modify, reverse-engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law
- Remove or alter any proprietary notices or labels on the Software
- Use the Software on non-Cornelis Networks hardware products
- Use the Software for any unlawful purpose
3. CORNELIS NETWORKS COMPONENTS - BSD 3-CLAUSE LICENSE
For components of the Software that are original works of Cornelis Networks, the following BSD 3-Clause License applies:

4. THIRD-PARTY COMPONENTS
The Software includes binary components from third parties. Each third-party component is subject to its own license terms, which are available on the Cornelis Networks corporate website at www.cornelisnetworks.com. By using the Software, You agree to comply with all applicable third-party license terms. Your use of third-party components is solely at Your own risk.
5. INTELLECTUAL PROPERTY RIGHTS
Except for the rights expressly granted in this Agreement, all rights, title, and interest in and to the Software, including all intellectual property rights therein, are and shall remain with Cornelis Networks and the respective third-party licensors. No rights are granted to You other than a license to use the Software on the terms expressly set forth in this Agreement.
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORNELIS NETWORKS AND ITS THIRD-PARTY LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CORNELIS NETWORKS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORNELIS NETWORKS OR ITS THIRD-PARTY LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF CORNELIS NETWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CORNELIS NETWORKS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY DOLLARS ($50.00).
8. EXPORT COMPLIANCE
You acknowledge that the Software may be subject to export laws and regulations of the United States and other countries. You agree to comply with all applicable export laws, restrictions, and regulations in connection with Your use of the Software, and will not export or re-export the Software in violation of such laws, restrictions, or regulations.
9. U.S. GOVERNMENT END USERS
If You are a U.S. Government end user, the Software is a "Commercial Item" as that term is defined at 48 C.F.R. 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R. 227.7202, as applicable. Consistent with 48 C.F.R. 12.212 or 48 C.F.R. 27.7202-1 through 227.7202-4, as applicable, the Software is being licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to all other end users pursuant to the terms and conditions herein.
10. TERMINATION
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Cornelis Networks if You fail to comply with any term(s) of this Agreement. Upon termination, You shall cease all use of the Software and destroy all copies, full or partial, of the Software.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby consent to personal jurisdiction and venue therein.
12. ENTIRE AGREEMENT
This Agreement, together with the applicable third-party licenses referenced herein, constitutes the entire agreement between You and Cornelis Networks relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Agreement will be binding unless in writing and signed by Cornelis Networks.
13. SEVERABILITY
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
